SellOnCue Terms of Service
These Terms of Service govern access to and use of SellOnCue, a software service operated by FURNISH WELL GROUP LTD. By creating an account or using SellOnCue, you agree to these Terms.
1. About SellOnCue
SellOnCue is developed and operated by FURNISH WELL GROUP LTD, a company registered in England and Wales under company number 17231423.
SellOnCue is a software service designed for TikTok Shop sellers. It is being developed to analyse authorised shop and performance information alongside business information supplied by the seller, identify commercial opportunities, recommend actions or experiments, and help sellers understand the observed results.
2. Business use
SellOnCue is intended primarily for people and organisations using TikTok Shop for business or commercial purposes.
By using SellOnCue on behalf of a company, partnership or other organisation, you confirm that you have authority to accept these Terms on its behalf.
You are responsible for ensuring that your use of SellOnCue complies with any laws, regulations and platform rules applicable to your business.
3. Your account
You are responsible for maintaining the security of your SellOnCue account and for activity carried out through it.
You must:
- Provide accurate account information.
- Keep your login credentials confidential.
- Use strong and unique passwords.
- Notify us if you believe your account has been compromised.
- Ensure only authorised people use your account.
You must not knowingly allow another person or organisation to use your account in a way that breaches these Terms.
4. Early access and beta status
SellOnCue may be made available as an early access, pilot or beta service while features and integrations are still being developed and tested.
During beta periods:
- Features may change, be added or be removed.
- Some functionality may be incomplete.
- Availability may be interrupted.
- Example or simulated data may be used where clearly labelled.
- Third-party integrations may depend on external approval.
We will make reasonable efforts to describe beta functionality accurately and avoid presenting simulated information as real shop data.
5. TikTok Shop connection
Certain SellOnCue features require you to connect and authorise your TikTok Shop account.
SellOnCue will only access TikTok Shop information through permissions and authorisation made available by TikTok and granted by you.
You are responsible for ensuring that you have the authority to connect the TikTok Shop account you authorise.
You may revoke SellOnCue's access using controls provided by TikTok Shop or other functionality made available by SellOnCue.
6. Third-party platform dependency
SellOnCue relies on third-party services, including TikTok Shop, to provide certain functionality.
We do not control TikTok's APIs, approval processes, platform rules, service availability, data availability or future product changes.
A third-party platform may change or withdraw an API, permission, feature or authorisation process. This may require SellOnCue to modify, restrict or discontinue affected functionality.
SellOnCue is an independent software service and is not TikTok itself.
7. Seller information
Some SellOnCue functionality may allow you to provide business information such as:
- Product costs.
- Commercial margins.
- Stock levels or stock priorities.
- Business goals.
- Available time or capacity.
- Content preferences.
- Results or feedback relating to previous actions.
You are responsible for ensuring that information you provide is reasonably accurate.
SellOnCue recommendations may be less useful or accurate where information supplied by you or received from third-party platforms is incomplete, inaccurate or out of date.
8. Recommendations and Cues
SellOnCue is a decision-support service.
Recommendations, Cues, opportunity assessments, experiments, performance explanations, content suggestions and other outputs are provided to assist your own business decision-making.
They are not instructions that you are required to follow.
You remain responsible for deciding:
- Whether to follow a recommendation.
- Whether to publish content.
- How to price or promote products.
- Whether to change stock or inventory decisions.
- Whether to use advertising or creator programmes.
- Whether any suggested action is appropriate for your business.
9. Experiments and observed outcomes
SellOnCue may allow actions to be treated as experiments and compare performance before and after an action.
An observed change following an experiment does not necessarily prove that the SellOnCue recommendation caused that change.
TikTok Shop performance may be influenced by many external factors, including demand, seasonality, algorithmic distribution, competitor activity, pricing, advertising, creator activity and wider market changes.
SellOnCue may use previous experiments and observed outcomes to improve the relevance of future recommendations for your shop.
10. No guarantee of commercial results
SellOnCue does not guarantee increased sales, revenue, profit, views, conversion rates, TikTok distribution or any other particular commercial result.
Past performance, historical patterns and previous experiment results do not guarantee future performance.
Business decisions remain the responsibility of the seller.
11. AI-assisted functionality
Some SellOnCue features may use artificial intelligence or other automated systems to help analyse information, explain performance or create practical guidance such as:
- Content concepts.
- Video hooks.
- Talking points.
- Shot suggestions.
- Captions.
- Calls to action.
- Plain-English summaries of performance information.
AI-generated output may occasionally be incomplete, inaccurate or unsuitable.
You should review generated content before relying on or publishing it.
12. Acceptable use
You must not use SellOnCue to:
- Break the law or encourage unlawful activity.
- Access another person's shop or account without permission.
- Attempt to bypass authentication or security controls.
- Interfere with or disrupt SellOnCue systems.
- Introduce malware or malicious code.
- Scrape, probe or attack the service without written permission.
- Misuse TikTok Shop APIs or data.
- Use information obtained through SellOnCue for unauthorised purposes.
- Violate applicable TikTok Shop terms, policies or platform rules.
We may restrict or suspend access where we reasonably believe the service is being misused or where necessary to protect SellOnCue, customers or third-party platforms.
13. Privacy and data protection
Our handling of personal information and authorised TikTok Shop data is described in the SellOnCue Privacy Policy.
By using SellOnCue, you acknowledge that information will be processed as described in that policy.
14. Intellectual property
Furnish Well Group Ltd owns or licenses the software, design, branding, code, systems and other intellectual property used to provide SellOnCue.
These Terms do not transfer ownership of SellOnCue or its underlying technology to you.
You retain ownership of information and content that you lawfully provide to SellOnCue.
You grant us the limited rights necessary to process that information for the purpose of providing, securing and supporting SellOnCue in accordance with these Terms and our Privacy Policy.
15. Feedback
During beta testing, you may choose to provide feedback, suggestions or ideas about SellOnCue.
We may use feedback to develop, improve and operate SellOnCue without owing compensation for doing so.
Providing feedback does not transfer ownership of your existing business information, content or intellectual property.
16. Fees and paid plans
Some SellOnCue functionality may initially be available free of charge during pilot or beta testing.
We may introduce paid plans or paid features in the future.
Where charges apply, pricing, billing frequency and any applicable subscription conditions will be presented before you agree to purchase the relevant service.
We will not begin charging an existing free beta user solely because these Terms allow paid plans to exist.
17. Availability and changes to the service
We aim to keep SellOnCue available and useful, but we do not guarantee uninterrupted or error-free availability.
We may change SellOnCue where reasonably necessary to:
- Improve the service.
- Add or remove features.
- Respond to third-party API changes.
- Comply with legal or platform requirements.
- Protect security or reliability.
- Develop the service during beta testing.
18. Suspension and termination
You may stop using SellOnCue at any time.
We may suspend or terminate access where reasonably necessary, including where:
- You materially breach these Terms.
- Your use creates a security risk.
- You misuse TikTok Shop data or integrations.
- We are required to do so by law or a platform provider.
- Continuing to provide the service is no longer reasonably possible.
Where appropriate, we will try to provide reasonable notice before termination unless immediate action is required for security, legal or platform-compliance reasons.
19. Account closure and data
Where your SellOnCue account is closed or relevant TikTok Shop authorisation is withdrawn, we will handle associated information in accordance with our Privacy Policy and data-retention procedures.
Data no longer required for the active service will normally be deleted or securely anonymised within the periods described in our Privacy Policy, subject to legitimate legal, security or contractual retention requirements.
20. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
This includes liability for fraud or fraudulent misrepresentation, and liability for death or personal injury caused by negligence where such liability cannot lawfully be excluded.
Subject to those protections, SellOnCue is provided as a business decision-support service and Furnish Well Group Ltd is not responsible for business losses arising solely from a seller choosing to follow or not follow a SellOnCue recommendation.
We are not responsible for losses caused by third-party services, platform outages, API changes, TikTok account actions or other events outside our reasonable control.
Where permitted by law, we will not be liable for indirect or consequential losses, loss of opportunity, loss of anticipated profit, loss of goodwill or loss arising from decisions made using SellOnCue recommendations.
21. Events outside our control
We are not responsible for failure or delay caused by events outside our reasonable control, including:
- Internet or hosting outages.
- Third-party platform failures.
- API suspension or withdrawal.
- Cyberattacks despite reasonable security measures.
- Government or regulatory action.
- Major infrastructure failures.
22. Changes to these Terms
We may update these Terms where SellOnCue changes or where legal, security, commercial or platform requirements change.
The current version will always be published on this page.
Where a change is material, we may provide additional notice through SellOnCue or require acceptance of updated Terms before continued use.
23. Governing law
These Terms are governed by the laws of England and Wales.
Where legally permitted, the courts of England and Wales will have jurisdiction over disputes relating to these Terms or SellOnCue.
24. General provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
If we do not immediately enforce a provision of these Terms, that does not mean we permanently waive our right to enforce it.
These Terms, together with the SellOnCue Privacy Policy and any additional terms expressly agreed for a particular paid service, form the agreement governing your use of SellOnCue.
